Engagement scope, timelines, fees, deliverables, and responsibilities are defined in a separate written agreement (such as a statement of work) if you become a client. Where such an agreement exists and conflicts with these Terms, the signed client agreement will govern for that project.
We do not provide legal advice, investment advice, or regulated professional services through the Site. Any tools, templates, or examples provided are for educational purposes and may require adaptation for your specific circumstances.
3. User obligations
You agree to use the Site only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Site complies with applicable laws and regulations.

To the extent any liability is not excluded, our maximum aggregate direct liability for claims arising out of or relating to the Site or these Terms will be limited to the lower of: (a) the amount you paid to NorthLake Advisory for services in the 12 months preceding the event giving rise to the claim; or (b) 100 EUR.
Some jurisdictions do not allow limitations of liability for certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless NorthLake Advisory and its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site; or (c) your violation of any law or third-party rights.

11. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to the dispute resolution process below, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you submit to the personal jurisdiction of those courts.
12. Dispute resolution
If you have a concern or dispute related to the Site or these Terms, you agree to first contact us and attempt to resolve the matter informally for at least 30 days before initiating legal proceedings.
During the informal resolution period, please provide a clear description of the issue and the relief you are seeking. We will make a good-faith effort to respond and, where appropriate, propose a resolution. If we cannot resolve the dispute within 30 days, either party may proceed to bring a claim in the courts identified in the governing law clause.
13. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, pose a risk to the Site, or are using the Site in a way that may create liability for NorthLake Advisory or third parties.
