Terms of Service

NorthLake Advisory provides business consulting services focused on AI advisory, analytics strategy, KPI design, governance support, and related enablement materials. The Site provides information about our offerings, approach, and resources. Any descriptions on the Site are provided for general information and do not form a binding commitment to deliver a specific outcome.

Engagement scope, timelines, fees, deliverables, and responsibilities are defined in a separate written agreement (such as a statement of work) if you become a client. Where such an agreement exists and conflicts with these Terms, the signed client agreement will govern for that project.

We do not provide legal advice, investment advice, or regulated professional services through the Site. Any tools, templates, or examples provided are for educational purposes and may require adaptation for your specific circumstances.

You agree to use the Site only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Site complies with applicable laws and regulations.

• You must not attempt to gain unauthorized access to the Site, servers, or systems.
• You must not scrape, harvest, or collect content or data from the Site using automated means without our written permission.
• You must not reverse engineer, decompile, or attempt to extract source code from any part of the Site except to the extent permitted by law.
• You must not impersonate another person or misrepresent your affiliation with any individual or entity.
• If the Site offers any account-based features in the future, you agree to maintain the confidentiality of credentials and to keep one account per person, unless otherwise authorized in writing.

The Site and its content, including text, visual design, logos, trademarks, icons, graphics, and underlying code, are owned by NorthLake Advisory or licensed to us and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. You may not reproduce, distribute, publicly display, sell, lease, or otherwise exploit the Site content without our prior written consent.

Any feedback you provide about the Site or our services may be used by us without restriction, unless prohibited by law, and without obligation to compensate you.

You agree not to engage in any activity that interferes with or disrupts the Site or that harms NorthLake Advisory, our users, or third parties. Prohibited activities include, but are not limited to:

• Sending spam, unsolicited communications, or bulk messages through or about the Site.
• Introducing malware, viruses, or other harmful code.
• Attempting to probe, scan, or test the vulnerability of any system or network connected to the Site.
• Using the Site for fraud, deceptive practices, or to violate third-party rights.
• Uploading or transmitting illegal content, or content that infringes intellectual property or privacy rights.
• Interfering with normal Site operation, including denial of service attacks or excessive requests.

The Site and all content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NorthLake Advisory disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected. We do not guarantee the accuracy or completeness of information on the Site, including any examples, illustrations, or educational materials.

To the fullest extent permitted by law, NorthLake Advisory will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Site or any content on it, even if we have been advised of the possibility of such damages.

To the extent any liability is not excluded, our maximum aggregate direct liability for claims arising out of or relating to the Site or these Terms will be limited to the lower of: (a) the amount you paid to NorthLake Advisory for services in the 12 months preceding the event giving rise to the claim; or (b) 100 EUR.

Some jurisdictions do not allow limitations of liability for certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless NorthLake Advisory and its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site; or (c) your violation of any law or third-party rights.

The Site may reference or display links to third-party websites or services for convenience and informational purposes. NorthLake Advisory does not control those third-party services and is not responsible for their content, availability, or practices. Accessing third-party links is at your own risk.

Our collection and use of personal information is described in our Privacy. The Privacy policy is incorporated by reference into these Terms. By using the Site, you acknowledge that you have read and understood the Privacy policy.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to the dispute resolution process below, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you submit to the personal jurisdiction of those courts.

If you have a concern or dispute related to the Site or these Terms, you agree to first contact us and attempt to resolve the matter informally for at least 30 days before initiating legal proceedings.

During the informal resolution period, please provide a clear description of the issue and the relief you are seeking. We will make a good-faith effort to respond and, where appropriate, propose a resolution. If we cannot resolve the dispute within 30 days, either party may proceed to bring a claim in the courts identified in the governing law clause.

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, pose a risk to the Site, or are using the Site in a way that may create liability for NorthLake Advisory or third parties.

We may update these Terms from time to time to reflect changes to the Site, legal requirements, or our business practices. Updated Terms will be posted on this page. Changes become effective 14 days after posting unless a shorter period is required by law.

If you continue to use the Site after changes become effective, you agree to the revised Terms.
